second part agreement, how much hold of goods duration of time give to other part,security deposits,margin of profit,payment as well as credit policy.

Dear Sir

Do you have any distributorship Agreement with your Distributors. If you have, then you need to amend / modify or enter in to new agreement with such distributors.

You can execute a fresh agreement with such distributors to the effect that payment from the Stockist shall strictly be received by A/C payee cheque or wire transfer in favor of the Company and such amount should not be personally collected or credit to the distributors.

Or you can have the clause, that such stockist would be liable to make payment directly to the Company and not through the distributors. In this case, you will have direct burden to collect payment from the stockist and the liable of the distributor will be dissolved.
