Help with severance package amount.

I was laid off on 10/23/00 and received a severance package. The initial check I received included a reimbursement for the Employee Stock Purchase Plan in the amount of $1322.67. I was not participating in that plan. Now the company realized their error in giving me that money and wants it back. They admit it was their mistake. However, they say if I don't give them the money back, they will deduct the amount from the reported tax withholdings to the IRS. Can they do that? Am I legally obligated to return the money?

The money does not belong to you and you are legally obligated to return to.
