Legal Question in Business Law in California

I'm a Security Company that provides private security guards to clients. A week ago another security Company subcontract with my company and I signed a written contract, when I got to the job site the owner of the business happen to be an old client of mine and he wanted me to do business with me instead of the company that subcontract with me. The other Company is saying that we violate a breach of contract and he want to dispute that. What are chances to win this case?

Every contract has an implied covenant of good faith and fair dealing. The business owner contracted another company to provide security service and they farmed it out to you. Hijacking the contract for yourself would potentially put you in breach of your subcontract. So unless the business owner has legal grounds to terminate his original contract, I think you would be in serious legal trouble.
