Legal Question in Business Law in California

I want to sell my business via the internet. My customers are mostly law enforcement agencies. I am concerned about privacy, security and infringement once i sell. what legal issues and or international conflicts could cause me to have problems with my company?

This sounds like a very complex case. I would highly recommend you consult an attorney and discuss the specific details of the deal. I do not think you will have a lot of luck getting any kind of response (detailed or not) on this site.

Any sale of a business is complicated and full of risk. I can't tell you the number of cases that come my way where a business owner has tried to sell a business without any legal help and then paid 10-100 times more in legal fees later.

What do you mean by "sell my business via the internet"? This may be a satisfactory way to locate a prospective buyer or buyers. However, you surely don't want to conclude a deal with buyers you haven't met and gotten to know!

The first and foremost problem with small-business sales is for the seller to get paid. If the terms are not 100% cash on the barrelhead, the seller needs collateral and deeds of trust or security agreements sufficient to perfect a secutiry interest in property worth well over what is owned.

Once the problem of getting paid is handled effectively, the sale negotiations should cover deal terms such as indemnity of the seller from post-closing liabilities of ANY kind resulting from the buyer's operation of the business.

For both of these concerns, you need an attorney with sale-of-business experience. There is no substitute. Nope, NONE.
