Your best bet rather than trying to work from a bare sample agreement is to invest $20 or so in a paperback book, Nolo Press for one example of a well-known publisher, that will contain both sample agreements and some discussion of why and how to customize the sample(s). Be sure to get a book that is aimed at California audiences. Partnership law doesn't vary too much from state to state, but there are subtle differences in each state's version of the so-called Uniform Partnership Act.
