Legal Question in Employment Law in California

I have a severence package to review with a non-compete, clause... i have heard they are not enforceable in CA but they way this is written i would have to defend my self against them for previous or past severence pay...

other this is an out of state corp, should they not state they have to pay my 200 hours of PTO?
