my software consultant maintains all our systems, network, data, etc. he has all the passwords and is not returning our phone calls. how can we force him to give us access to all our material?

It is not clear from your posting why the consultant is not returning your calls. Is he busy on another job? On vacation? Or has he terminated his relationship with your company? How many times have you tried to call? Have you made a written demand for the passwords?

Assuming that there is some kind of termination of the relationship and the consultant is intentionally withholding the information, you may need to take legal action. If and when you are convinced that the consultant is intentionally withholding the information, you should consult an attorney for advice on further steps.
