Corporation Valuation of Undistributed Stock

We have a corporation that has distributed equal amounts of stock to three shareholders. It is an S Corporation. We still have stock that can be distributed. How do we arrive at a value for these shares? And how do we offer them to the current shareholders only and what kind of advance notice do we need to give?
