Resigned Officer Intercepts Check

I am registered agent/VP of corporation.My husband is also VP.The president was also the incorporator and his wife a VP resigned as of9/16/05via certified letter sent to me.I have not filed the letters.Expres. took job with a corporation that owed my corporation money for civil work which I financed on my credit cards.When this company sent PO on9/02/05Ex-pres. was listed as contractor and contractor representative.I emailed said this is wrong. I want correct PO which I received9/08/05.I have copies of both PO and my email requesting correction.New PO lists our corporation as contractor/Expres. as contractor representative.I signed PO saying I received.Instead of sending check to corporate adress on invoice the company gave the expresident(their employee)the check at his request.He took the check made out to my corporation and went to an attorney who is holding the funds until we ''bring invoices for materials and services we provided so that he may credit our account and distribute funds''.Not sure if check has been cashed. If not can I request the company who issued the check to stop payment on the check,issue another,and mail to correct address?Did ex-pres or the company do anything illegal by diverting check? Theft?Any recourse?
