Legal Question in Business Law in Massachusetts

incorporating dental practice

My father is a dentist who wants to

incorporate his practice. We are

wondering if it would be possible for

non-dentist members of his staff (i.e.

back office staff, hygienist, dental

assistants) to hold ownership shares

in this corporation? He would hold

the majority of the shares.

Usually the rules of engagement in professional corporations is that only the professionals can have a direct interest. There may be other means in which your father can grant these folks a different class of interests.

The short answer is no. Non-Dentists cannot own a dental practice. However, if the goal is to allow for estate planning and profit participation there are ways to accomplish that but not in as straightforward way as you might want to have happen.
