Legal Question in Business Law in Michigan

Hi, we are in the process of becoming a non profit organization, we have our articles of incorporation, we have an ein number, we are in the process of approving our new bylaws and conflict of interest. The president and vp are not following through with things and the board of directors which their are 12 of us voted in, are questioning it and president keeps saying she will dissolve the board...can this happen with out our voting, consent...

The bylaws govern the board and president rights and responsibilities. It is important to have the bylaws approved so everyone understands how the organization should operate. The bylaws will determine board members terms and how to remove a board member or president. Currently, the rights are set by whichever person/group that holds more than 50 percent of the shares.
