Better to Incorporate in NV or WA?

What are the advantages of incorporating a business in Nevada v. Washington? Some shareholders may be non-USA companies or individuals; some will be be residents of Washington. All business activities will take place in Washington and will be structured to minimize but not eliminate or evade USA taxable income.

Nevada has fewer rules for disclosure of corporate officials and shareholders. Washington has very forward oriented rules, being based upon the Model Corporations Act. For a corporation with a need (or desire) to keep secret its shareholders and officers, Nevada may be worth the additional cost and inconvenience of incorporation there. Microsoft is a Washington corporation.
