Legal Question in Tax Law in New Jersey

I live in NJ, my business partner lives in PA.. We want to start a mobile app business, should it be an llc? What state is best for us to incorporate in?

Your business should be an LLC. Because this is a multi-member business, the Operating Agreement is extremely important. You really need a good tax and business lawyer to establish your business the right way.

The location can be a tricky question. Since it is an App business, which I presume has nationwide or international sales possibilities, your attorney will need to guide you concerning the best tax choices.

I partially disagree with my colleague in that if you are planning to have investors, either now or in the future, an LLC may not be a good choice of entity. I agree that the choice of incorporation state needs to be discussed with an attorney who will examine the operational and tax implication of several states that may be appropriate in your case.
