Dissolution of a Corporation

My sister & I formed a C-corp. corporation which was two rental homes. We have decided to go it alone and finally our lawyer has transferred 1 house to my sister & 1 house to myself in our personal names (no corp.). Now the corporation has no assets & no activity, I know we need to file 2004 income taxes but what else needs to be done or filed to dissolve & completely end this corporation.

Assuming this is NY state, dissolution is a matter of filing the Articles of Dissoultion on the Secretary of State AFTER you get permission for dissolution from the State Tax Department. The latter requires that you pay up all outstanding taxes and get a letter certifying that such taxes were paid. The process takes some time, but is fairly straightforward.
