Legal Question in Business Law in New York

Can a foreign company be a subscriber by memorandum to a US based company. If yes will the company be required to register itself in the united states .

I will also like to know the requirements for opening a subsidiary of a foreign based company in the united states . What state is best to register such a company if they are looking to do coal business.

Other relevant information will be very much appreciated

As to your first question, if you are asking whether a foreign company can be a shareholder or member of a US entity the answer is yes. The only issue is regards to S-Corp. If you mean something else by the term "subscriber" you will have to explain what you mean.
