Legal Question in Business Law in New York

LLC Chaos . . .

I was under the impression by a decietful partner that I was a member of an LLC. I have been involved in 80% of the company business, sales, operations and backroom admin activities. It has now been made clear to me that I am not a legal partner and that I have no claims to any profits from sales that I have generated. I recently initiate a trademark petition for the name and logo. What are my rights, if any? And what is my risk of being sued if I were to go out under a new corporate name and operate in a similar form being that I did not sign any exclusivity agreement?

You may have certain rights & obligations in your case. You really need to contact an attorney... there are way too many variables to provide an answer in this forum.
