Legal Question in Entertainment Law in New York

rights agreement

A bar is eager to be the subject of a reality tv series but the parent LLC is currently unable to enter into new contracts.

What kind of rights agreement could I use to bind the principals to the project and protect my investment of time and resources?

You have a problem since you know that the agent does not have authority to bind the principal. If you attempt to trick the principal through its agent, your contract may be held invalid under the doctrine of fraud in the inducement.
