You an draw up the partnership papers in New York or in India. Your concern should be which jurisdiction should hear your grievance in case you have a parntership dispute; Indian law in Indian Court or New York law in United States court. How do you account for your wages or share of business; you should hire an independent book keeper in New York to make sure you obtain your fair share.

Initially you and your partner will need to submit formation documents to create the LLC. Later you will need to obtain a tax identification number so that the LLC could issue you a K1 schedule for tax purposes. In addition, you will need to enter into an operating agreement with your American co-founder to protect both of your rights and equity in the company and clarify the responsibilities and duties each will have.

Being that you are in India it is highly recommended that you retain an attorney who will represent your best interests in the new LLC. My firm has experience with international clients that have presence in the US. Feel free to contact me directly and I will be able to help you.
