Starting New Company

I am on the board of one company. It is not moving forward and the other members are doing nothing. I am thinking of leaving and starting a similar business with a partner. Could the board members of the old company take me to court for any reason. I never signed a noncompete.

They may be able to take you to court but it is not clear if they will succeed.

If you did not sign a noncompete, under the facts as you have recited them, there seems to be no barrier against leaving and starting your own company. Be certain that you sever ALL ties with the former company so that you do not violate any of your duties as a board member.
