if 2 people go into business together & the business operates under one name & one tax identification number, what legal rights does the unnamed person have

The rights will depend upon what type of entity you have set up, the articles of incorporation, and the associated company agreement that has been set up which should identify Members, Managers, and Officers. Depending on the type of entity you have set up, you may then need a Shareholders Agreement and even a set of corporate bylaws.
