Legal Question in Civil Litigation in Virginia

board of directors

On a board of directors for a non profit organization a policy was put into effect that if any emails were not that addressed the work of any other members, their spot would be considered vacant. Someone did this and the president declared her spot vacant. Is this allowed and can all members of a board of directors be sued or just the officers?
