Tim Fitzgerald is a Principal Attorney with The Law Offices of Marc J. Lane and a member of its corporate and business law practice group. He advises on: � The appropriate organizational structure for social enterprise businesses and the optimal use of emerging legal forms available (L3C, Benefit Corporation, Benefit LLC, etc.); � The creation of tax-exempt organizations and applications for federal and state tax exemption; � Maintaining tax-exempt and public charity status; � Compliance with tax laws for tax-exempt organizations and unrelated business taxable income implications; � Excess benefit transactions and private foundation excise tax laws; � Program-related investments; � Not-for-profit organization standards and procedures; � Director and officer responsibilities and liabilities; and � Drafting and reviewing corporate governance documents and operational agreements. Tim also represents business organizations: � In matters before the Internal Revenue Service, IRS Appeals, and state tax authorities; � Under audit or seeking rulings from the IRS or other governmental agencies; � With the preparation and filing tax returns (including Forms 990, 990PF, 990T, 1040, 1065, and 1120); and � In negotiating settlements, offers in compromise, and installment agreements. He is a Certified Public Accountant (CPA) with several years of practical experience working in public accounting on matters pertaining to not-for-profit organizations. He is a member of the American Bar Association, Illinois Bar Association, Chicago Bar Association, the Illinois CPA Society, and Social Enterprise Alliance. Tim is a Chick Evans Scholarship award recipient and earned his bachelor�s degree from Marquette University with a major in Accounting (B.S., 1999) and his law degree from DePaul University College of Law with a Certificate in Taxation (J.D., 2007).
