Legal Question in Business Law in Ghana
I helped a friend recently to design a Pension Administration System ,PAS, and have it developed off shore by an Indian Development Company. He owns a Pension Trust fund of which I was a director, with no shares. We set up another company to provide the PAS solution and support to his Pension Company, I am a 40% shareholder of this company. For two years they never paid any money for the use of the system. I am demanding payment and it is not forthcoming. I act as MD of the PAS company. Can I sue the Pension company even though I am not the majority share holder of the PAS company. There is a contract in place but my partner is majority shareholder of both companies.
