What is the procedure for Issuing Of Non-Convertible Debentures by an unlisted Public Limited Company under Companies Act, 2013 and SEBI (Issue and Listing of Debt Securities) Regulations, 2008?

SEBI (Issue and Listing of Debt Securities), Regulations, 2008 do not apply to an unlisted company. NCDs by an unlisted public limited company can be issued with a board and shareholders resolution and upon creation of security and working out the trust relationship.
