legal contract

we are an india based freight forwarding & general merchandising sourcing company. recently we have an business understanding with an USA based company in similar business and agreed on sharing of our services at our respective ends and so will share equally the profit generated from these services. kindly advise how can we make alegal contract for the same as per international laws?

This kind of contract hinges on the issue of enforceability of obligations. The business terms are easy to memorialize; the harder issues to negotiate are (i) the governing law [in this case, India or US] of the contract, and (ii) the choice of forum. Since both India and the US are parties to the UN Convention on Recognition and Enforcement of Foreign Arbitral Awards (the "New York Convention"), international arbitration is likely the best dispute resolution mechanism. You will want to consider whether to have the arbitration under the supervision of an administering body (like the ICC), the place where the arbitration is to be held (India, US, or a neutral forum like Switzerland), and the number of arbitrators (usually, one or three).

This is a simple matter but you will have to decide which state/country's laws will apply to the contract and where disputes will be resolved; I usually suggest arbitration in a neutral country.
