When a company buys another and customer contracts are transferred to the new company does that new company assume the liability for overcharges made by the original company?

The answer depends upon the written purchase agreement and its terms and provisions between the buyer company and the seller company. Was it a stock purchase or an asset purchase? This requires a technical legal analysis and you should retain counsel to find the answers to your questions.
