What is the process and cost of purchasing an existing Arizona LLC from onother party.

The cost and the process depends upon what business has been conducted up to now, whether the LLC was properly formed, the condition of the books and records, what the operating agreement provides and what are the actual and potential liabilities associated with the business and the LLC. You should have counsel before making any kind of a deal.

The process of buying all or into an LLC is to draft and sign a Membership Interest Transfer Agreement. This is a relatively simple document (not counting due diligence and other concerns before you decide to buy the interest). BUT, for avoidance of liability reasons we almost never do a purchase of membership interst; rather we do an asset purchase agreement. Approx. price for LLC interst transfer about $750.00, not including minimal charge for assignment, promissory note and security agreements, if needed. And approximate price for asset purchase $950 to $1450.00 for same with Bill of Sale, UCC-1 Financing Statement, etc. if needed.
