dying partner
our partner who is dying wants out of
the llc because she does not want
her husband to have to deal with
after her demise. the current
partners do not have any more
personal equity for this buy out - how
do we handle this situation?

There are a variety of possible ways to settle this situation.
Does the dying partner have equity in the Company? If so, you will need to "buy-out" the dying partner.
