which form do i use for exclusive right to sell in a territory. This would be an agreement between a manufacturer of a product and an agency (my company) that gives exclusive right to sell a product in a specific territory.

I do not know of any such form, I recommend that you employ an attorney to draft an agreement that protects your interest as you describe them, and be sure that it is done in such a fashion to be enforceable, if you have to go to court to collect.
