Legal Question in Business Law in Arizona

LLC & quitclaim

While living with my boyfriend I was added as a member of his LLC which was formed in Nevada. I quitclaim deeded my house into the LLC. He is now dragging his feet about signing the papers to let me quitclaim the house back into my name since we have broken up. He states that he has notified the County Recorder ''that any and all legal and non legal documents of the LLC will be signed by the authorized agent (him) and must have the corporate seal on the document to make it legal and binding''. Is he able to remove me from the LLC and is he able to prevent me from having the house quitclaimed back to my personal name?

Re: LLC & quitclaim

You have a serious problem here. See an attorney at once without delay. You may need a court order, and may lose the house if you do not act quickly. With the action he has taken, you cannot deed the house to yourself and have clear title. You may need to file a dissolution action in the court for the LLC. Without seeing all the accompanying documentation in this case it is difficult to give a proper opinion. The LLC documents, including the Member Organizational agreement need to be examined, with the deeds. You are welcome to speak with me at no charge or obligation by calling 480.835.1500, or see another attorney. Take this seriously.
