Legal Question in Business Law in Arizona
LLC removing a manager
I recently started an llc with two other people. One of them already owned a company but did not have the appropriate license to this new comanies type of work. After the LLC was set up and an operating agreement was drawn up he began to drag his feet in signing it. In the meantime he went and got the license he needed and began funneling the new clients through his sole business. Can we remove him from our LLC?

Re: LLC removing a manager
Not all facts are clear here. Did he sign the member agreement, or not? Did you file the LLC with the State, or not? If you did, you have remedies under the member agreement, and the other member may be in violation of his obligation as a member by competing. See an attorney for a full analysis.
Good luck.
