Legal Question in Business Law in Arizona

Non-disclosure and Confidentiality Agreement

Hello, I have some people that are assembling my product as contract work, or piece work, and I do not want them to take my idea and copy it, or try to make it on their own to sell it, or tell other people how to make it either, I pay them per piece that they complete them. Now I taught them how to make the product and it is my design, I would like to get them to sign a Non-disclosure agreement. Do I get them to sign a employee Confidentiality Agreement? They are not my employees, just contract workers, or does it have to be a different form? What is the best non-disclosure form for me to use for this situation? Basically, I do not want them taking my idea and design and telling other people, or profiting for themselves. Thank you .

Re: Non-disclosure and Confidentiality Agreement

It is not the "name" of the "form" that matters, but the content of the contract. Of course, if they are not employees, the contract will not state such.

This sort of contract is usually best if lawyer-drafted, so I advise that. If you must do it yourself, you might search in your local law library for sample agreements or sample paragraphs. Caveat: these books are written for knowledgeable lawyers.

Good luck.
