Legal Question in Business Law in Arizona

professional corp

My significant other is a MD and we want to form a corporation for her to provide services to a hospital. In the state of Arizona, does it have to be a professional corporation? And if it does need to be a pc, can I (not an MD) be a director/stock holder in this corporation?

It should be a PC but not necessarely.You can be a shareholder or officer but the MD must have the decission making role in the medical area.There are many issues to consider and you should consult an attorney

I do not know of any requirement that MD's must for a prof corporation (PC) if they want corporate protection. If, however, a PC is formed, then there are restrictions concerning qualified directors and shareholders. As for directors, 50% plus the President must be qualified (MD) and shareholders not qualified cannot own more than 49% of the stock
