Legal Question in Business Law in Arizona
Last year I sold my small restaurant business that was setup up as an LLC. During that time, and unknown to me, an assist manager of mine signed a 5-year agreement with a supplier for towel and mat services a few days before the sale of our company was complete. Recently this former assistant manager has been notified that she is in breach of contract and her wages are being garnished. We have not allowed assist managers to sign documents for the LLC. Is it possible that my liquidated company can be held responsible? Or the former employee for that matter?

Did she sign a personal guarantee to the contract? We would need to review the towel supplier contract, the sale of business contract and see the Complaint filed against the LLC and the assistant manager to determine if they have grounds to do this.
