Legal Question in Intellectual Property in Arizona

Intellectual Property & Nondisclosure

If a nondisclosure and restricted use agreement was badly written and states that the agreement is made between the company and the company director, instead of the company and myself, but I signed it...is it legal and binding?

Is it the same thing as a contract, and by signing it have I handed over copyright of my work as an independent contractor?

I would of course need to review the entire agreement to render an opinion as to the legal effect of the contract language.

This would be billable.

What you describe sounds like contracts that have mistakes; they can argue that the mistakes are minor and should still be enforced. This issue would have to be researched to tell you what happens under AZ law in these cases, if that is the law governing the contracts.
