Legal Question in Criminal Law in Arkansas

I was a CEO for a non-profit organization. We are governed by a board of directors that has the ultimate hiring/firing for my position. Recently, there were some discrepancies on some purchases that were made on the corporate credit card. Two board members came into my office the next day and said we need to talk. Before I could say a word, one board member said that based upon the advice of the board attorney, I was being terminated for theft, my paycheck was being held for restitution and if I fought the termination, then they would pursue criminal charges. I agreed, saying that as CEO I am ultimately responsible and that the buck stops with me. Since that day, the board met and has since decided to forward the information to the prosecuting attorney for possible criminal action. Can the board change what was initially decided now that a period of time has passed?

In short, yes. They can still forward allegations of possible criminal behavior to prosecutor. As non-profit, they probably have a duty to do so.
