Legal Question in Disability Law in California

We plan an IPO with a Public Corporation. Is a Shareholder's Agreement necessary between the founders? Would this not be covered under the corporation's incorporation papers? Would a shareholder's agreement be an obstacle to Venture Capital and/or public funding?
