Legal Question in Business Law in California
we have a 4 person llc business 2 owners have 52% share hold and the other 2 have 48% share hold one of the share holders breeched contract by not depositing cash into business account in the amount of $500 the other two share holders of 52% breached contract first by not giving 20% of each service call who would be in breach of contract first and what should we do
1 Answer from Attorneys
The four of you should sit down together and negotiate, perhaps with the assistance of an experienced neutral. it's probably not important who breached first; what seems to be important here is whether the four of you can get along and do business together in the future. Among other matters, you need to explain, understand and agree upon your bylaws and other contractual obligations to one another. If you can't do business without bickering, you probably need to dissolve the LLC and go your separate ways.
