Legal Question in Business Law in California

Broke up with partner who was a boyfreind how do I protect myself

My previous boyfreind and I split up so we no longer work together. We rather I, I have the experience started a recruiting service from home with another freind. No cash was put in or no bank accounts opened as of yet. We signed a general partnership LLC we did not have any documents signed or sealed by the state of Ca. What do I have to do to protect myself from him wanting any money in the future. Since we just started (3) months we do not have any fees billed yet. HELP

Document your dissolution, that there are no obligations, have him sign an agreement that there is a split with no assets or liabilities to distribute.

A partnership and an LLC are conceptually different. Your business was one or the other, not both. Since an LLC requires formalities, you are or were probably a general partnership.

Steps to take depend upon whether the two of you are on speaking terms. Ideally, both of you should sign (and each get a copy of) a short statement dissolving the partnership.

In any case, you should prepare and make copies of a brief notice stating that no business relationship exists between yourself and "Mr. X" and distribute same to any persons or entities which might reasonably think the two of you were still in partnership.

If large sums of money are at issue or at the first whiff of problems, consult an attorney.
