Legal Question in Business Law in California

Business start-up blues

I'm trying to start a business and am in between making it a sole proprietorship or an LLC. I have absolutely no assets (I do not own my car yet and am making payments, I rent an apartment and can confidently say that all I actually own is a stereo, dishes and my bed!) and am a 22 yr old college student supporting myself through school and I have no other means of support except for my job. Which of the two (sole or LLC) business structures would be best for me? And if an LLC would be best and you are a lawyer in the Sacramento, Ca area Please leave me some information about your services and what it would cost me. Thank you for your help.

The sole proprietor route may be best for you since you do not have a lot of assets. Also, it is easier, quicker and less expensive to set up. However, each situation is different. My firm in Elk Grove will provide a free consultation for you. You may contact me at 916 247 6868.

Unfortunately, the information you provide is only a portion of what would be needed to assist you make in making a choice of entity decision. You don't say why you ruled out an S or C corp, but I'd first rule those back in for consideration, and go from there (I know, wrong direction, not what you want to hear! It's easier to get this one right the first time rather than switch things to rectify problems later, however.).

My incorporation website has some background information on corps and LLCs. My flat rate fee for entity formation and related legal counsel is currently $749. I have clients in Northern California - I work with them via phone/fax/email. If that might interest you, take a look at my site. If you prefer local counsel, I urge you to speak to consult with a business attorney and/or accountant before making any decisions on this front.

Best of luck with your new venture.
