Are you negotiating with an existing dealer already? Do you hold a dealer's license? Are you qualified to get a license? Check the DMV web site for details.
Also, find out what liabilities the dealership may have. Are you buying into liabilities? Has the dealer been audited recently?
What financial investment are you making?
I strongly urge you to work with an attorney up front to structure the deal rater than coming to a lawyer when problems pop up later and you are losing your investment or are personally liable for things that happened before you came on board.
