Closed Board meetings of a Not For Profit Corporation

What are the conditions under which the Board of a non-profit Corp. can hold an "executive session" or sometimes called a "closed meeting" and what section of the Corporations Code would cover this?

This question can best be answered by looking at your Articles of Incorportation and your By-Laws.

In the By-Laws are specific instructions regarding the holdingof meetings etc.
