Legal Question in Business Law in California

Company registration

I started a company in CA. I legally icorporated it in CA. However I have due to an unfortunate incident (fire) lost all my legal and original papers of the company formation such as letters of incorporation, etc. and now i do not know how and where to get the papers back from. Can you please help as this will be a very very big help to me since I am a foreign national and do not know much here.

Corporation

A Corporation (Domestic - Articles of Incorporation/Foreign - Statement and Designation) generally is a legal entity which exists separately from its owners. While normally limiting the owners from personal liability, taxes are levied on the corporation as well as on the shareholders. The sale of stocks or bonds can generate additional capital and the longevity of the corporation can continue past the death of the owners. Legal Counsel should be consulted regarding the variety of options available for formulation.

Certified copies of Articles of Incorporation may be obtained from the Secretary of State in Sacramento. However, since your papers were lost additional matters must be undertaken. Depending on your circumstances which were not stated in your question you are advised to seek legal counsel.

The California secretary of State will provide you with copies of your filed incorporation documents for a fee. You can find the contact information online.

You can get copies of anything you filed with the department of corporations in Sacramento. The other documents you lost can be replicated. You will need to have a formal minute record of what is being done when you replace the burned documents.
