What constitutes a client

I am in the process of dissolving a professional service business. My question is, are companies that have been solicited for work, but for which no work has been performed, considered assets of the buisness? And would they be subject to the laws governing dissolution and therefore have to be divided by the partners?

probably not but they might be if the company went to some expense to gather a cutomer list and the list contained information not readily known to the general public. then the list of customers would have some value and could be an asset.
