dissloving a business partnership
I have been in a partnership for 3 years. The agreement was I would receive $18,000 guarenteed a year. After the 2nd year I walked. Never received any accounting or monies. Just a request to relinquish my control.We are no longer friends after 54years.she evicted me 2yrs ago and is now trying to serve me.

She is probably trying to dissolve the partnership. In a dissolution proceeding the assets and liabilities are allocated to each partner and the partnership dissolved. I am not sure about a "guarantee" of $18,000.00 per year as you speak of without reviewing the documents and speaking with you about the case. Typically a partner in a partnership takes the good with the bad and there is not any "guarantee" of a return. If the company made money then you get a piece of it. If the company lost money then you pay a piece of that. However, if you loaned money to the partnership and had an agreement for a specific rate of return then that is a different story and perhaps you could be "guaranteed" a specific return. She is likely suing you for dissolution of the partnership. In a dissolution, the assets and liabilities are allocated among the partners in a particular fashion. You may be able to resolve the lawsuit via agreement and without spending tons of money in legal fees. Feel free to contact us for further details.
