Division 8 of the Uniform Commercial Code is entitled "Investment Securities," so the answer is clearly yes to your first question. However, do note that the UCC does not cover all aspects of investment securities - far from it. Other laws affecting investment securities include Title 4 of the California Corporations Code and a vast array of Federal legislation including much of Title 17 of the United States Codes.

Unborn calves and the UCC are part of the fact pattern of a law school quiz that can be found at http://www.columbia.edu/~ak472/comtrans/exams/mids97.html. Note section 2105(1) of the California Commercial Code, which says, inter alia, "...."Goods" also includes the unborn young of animals...."

Hope this helps you with your homework.
