Legal Question in Business Law in California

LLC agent for service

Two years ago I bought about 7-8 LLC's for people who asked me too through the company corporation Now the company corpration is asking me to pay for the LLC agent for service fees. The companies/LLC's are not in my name, and I don;t have the number to these individuals anymore. Am I liable to the company corpration or to any of these people to pay this

Re: LLC agent for service

You should be able to look up the current addresses of the LLCs here (unless the owners have not kept their records up to date): http://kepler.sos.ca.gov/list.html

You may or may not be obligated to pay for the registered agent fees - who knows what you signed or agreed to. You may be able to cancel the registered agent services, although you should as a courtesy in that case attempt to notify the owners, because not having a resident agent will cause adverse consequences for the LLCs.

This is yet another example of why I recommend the use of business attorneys, rather than incorporation services, when forming business entities - at least the attorney will explain things to you and be there when problems arise.

Re: LLC agent for service

What the heck do you mean you BOUGHT 7 or 8 LLCs for "people who asked you to?" You must understand that buying companies, whether LLCs, corporations or anything else is not inconsequential child's play! Buying and owning companies can have serious consequences. WHY did these folks ask you to buy their companies? How much did you pay for them? Did you have a purpose or goal in mind?

If you care to send me (directly, outside of LawGuru) the exact names of all of these LLCs, I will do a quick, free investigation of each of them on your behalf to see if there are any obvious problems with them, such as lawsuits or liabilities that might put you at personal risk. But I am amazed that anyone would buy LLCs for "people who asked them to" without any plan or concept of what was involved. Simply incredible!
