Legal Question in Business Law in California

Llc

Is the manager of an LLC also the legal owner? Does the assigned manager maintain the right to force the owner off the premesis simply because he considers himself the owner? The registerd owner signed a purchase agreement signing over the company to the LLC, but the contract was not signed by the manager and no money changed hands.

Re: Llc

This can be answered usually pretty easily by having an attorney like myself look at the corporate documents and the "agreement."

If interested, please email.

Re: Llc

An LLC is made up of "Members" who are the "owners" of the LLC. Usually one or more Members are deemed the Managing Members, which typically means they are involved in running the business and are not silent partners, ie passive investors.

However, a LLC is a flexible entity. All of this is determined by the LLC's Operating Agreement. You should check this if there is any issue with regard to the rights and duties of persons affiliated with a LLC.

The rest of your question does not make sense without additional facts. Can you please provide a more complete explanation of your issue?
