Legal Question in Business Law in California

LLC to sole proprietor

Do I need an attorney to dissolve return to sole proprietor from LLC? If not, how can I be sure I have completed all necessary steps? Can you recommend an attorney in my area (North San Diego County)?

Re: LLC to sole proprietor

You need to dissolve the LLC by filing a Certificate of Dissolution and a Certificate of Cancellation with the Secretary of State. Thereafter, you need to file final tax returns with the IRS and FTB.

It's a fairly simple and straight forward process if there's only one owner.

Let me know if I can be of further assistance.

The forms and instructions can be downloaded from the Secretary of State's Web site at www.ss.ca.gov. I think they can be filled in on-line then printed for signature. Be very careful to follow the instructions precisely, as the Secretary of State is very technical about processing and accepting these documents. However, a non-lawyer with average business skills and experience can understand and complete them, maybe sometimes on the second try!
