LLC Statement of Information Form?

Regarding an LLC statement of information - LLC-12 - the form is ambiguous at best as to whether in sections 7/8/9 to report only the name of a managing member or the names of the managing member and the other members, as well? Any hints on interpreting this form?

The instructions seem clear to me. They say to list all the managers (and this would be whether the managers are members or not). If thre are no managers, then, the instructions say, list all the members.

Remember that an LLC can have managers that are not members, members who are not managers, and member-managers.

Usually, an LLC will be far enough along in its organization that it will have one or more managers, and in this more frequent situation you list all the managers, whether they are members or not, but do not list members who are not managers.

If, however, the LLC has no managers - a relatively rare situation - you need to list all the members.
